These terms of use (the “Terms of Use”) govern your access to and use of the Website.

You represent to the Company that you are lawfully able to enter into contracts. LogicMonitor Subscription
For the avoidance of doubt, these Terms of Use govern your access to and use of the Website, and do not govern the use of the Company-hosted data center monitoring service (the “Service”), which may only be accessed or used on a subscription basis pursuant to the applicable terms of service (which may vary depending on a number of factors, including whether or not the customer is an enterprise customer, operates as a managed service provider, or is purchasing the Service through a reseller) set forth in a written contract between the customer and LogicMonitor.
Intellectual Property Rights
The Website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by the Company, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
These Terms of Use permit you to use the Website for your personal, non-commercial use and your consideration of Company’s products for use by your company only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Website, except as follows:
- Your computer may temporarily store copies of such materials in memory incidental to your accessing and viewing those materials.
- You may store files that are automatically cached by your web browser for display enhancement purposes.

Compliance with Applicable Laws
You agree that, in accessing the Website under these Terms of Use, you are not violating and will not violate any governmental laws, rules, regulations or orders that are applicable to your use of the Website (“Applicable Laws”). In particular, without limiting the foregoing, you represent that, in connection with your access to and use of the Website under these Terms of Use, you shall: (i) comply with Applicable Laws relating to anti-bribery and anti-corruption, which may include the US Foreign Corrupt Practices Act of 1977 and the UK Bribery Act 2010; (ii) comply with Applicable Laws administered by the U.S. Commerce Bureau of Industry and Security, U.S. Treasury Office of Foreign Assets Control or other governmental entity imposing export controls and trade sanctions (“Export Laws”), including designating countries, entities and persons (“Sanctions Targets”); and (ii) not directly or indirectly export, re-export or otherwise deliver any Company software, content or services to a Sanctions Target, or broker, finance or otherwise facilitate any transaction in violation of any Export Laws. Prohibited Uses
You may use the Website only for lawful purposes and in accordance with these Terms of Use. You agree not to use the Website:

Conduct in the Community
When posting, interacting with, or otherwise engaging in activity on communities.logicmonitor.com (the “Community”), you are responsible and liable for all your activities, including anything you contribute. You also agree to abide by the following rules of conduct:
- Do not engage in any unlawful conduct in the Community. In particular, do not post, publish, or distribute any defamatory, obscene, infringing or other unlawful material or information in the Community.
- Treat others in the Community as you would expect them to treat you. Do not engage in personal attacks or any type of “flaming” of other users. Do not “troll,” i.e., post topics or opinions that are designed to provoke a negative response from one or more specific users.
- Do not use offensive language. If you have any doubts about whether a particular statement might be considered offensive by other users, do not post it.
- Do not engage in disruptive activity in the Community, such as persistent off-topic contributions or comments, or statements that might incite other users to violate these guidelines or participate in illegal activities.
- Do not violate others’ rights in the Community. Do not contribute content that contains photos, software or other material protected by intellectual property laws, rights of privacy or publicity, or any other applicable law unless you own or have rights to these materials.
- Do not facilitate hacking or computer misuse. Do not post any instructions, software or other materials that would allow participants or third parties to harm other users’ computers or to inappropriately access software or websites.
- Do not engage in hacking or computer misuse. Do not post any computer programs that contain destructive features, such as viruses, worms or Trojan horses. - Do not impersonate any other person in the Community, including LogicMonitor employees or agents.
- Do not use the Community to spam other users, including sending identical and irrelevant submissions to many different discussion groups, mailing lists or communities.
- Do not misrepresent the source of anything you contribute.
- Do not use the Community to promote your business. While you may use the Community to provide supplemental information about your own business that might be of interest to other users (without spamming them), do not rely on the Community as the primary mechanism for operating or promoting your business. Any use of the Community for commercial purposes is solely at your own risk, and LogicMonitor assumes no liability for such use.
- Do not license your access to the Community. Any space provided to you in the Community is for your own personal use, and may not be sold, licensed, exchanged or bartered for any purpose, including advertisements.
- Do not rely on the Community for the safe or secure storage of any materials, such as photos, documents and software. The Community is not designed as the primary place to store any of these materials, and LogicMonitor is not responsible for the alteration, deletion or loss of any stored items. Create back-ups for any materials that you contribute to the Community.
LogicMonitor reserves the right to remove at any time, without notice, any contribution that violates these guidelines. LogicMonitor also reserves the right at any time, without notice, to ban a user who has violated these rules of conduct from any sub-community or all Community forums.
You are responsible for any actions you may take based on information or advice you receive while online. Use your own good judgment when evaluating information provided through the Community or any other communication service. The decision to share information or conduct transactions with anyone is your own; therefore, conduct your own research prior to making any decisions.
User Content
By posting, displaying, publishing or making available for download or use any images, video, sounds, HTML, applications, messages, text, files, profiles, or other content (collectively, “User Content”), other than personal information that is subject to the Privacy Policy, you hereby grant Company a perpetual, worldwide, nonexclusive, irrevocable, royalty-free, sublicensable license to perform, display, reproduce, prepare derivative works from, distribute, sell, sublicense, transfer and otherwise use without restriction all or any part of such User Content. No link shall be made to any page of this Website, except a direct link to the top page www.logicmonitor.com without framing. In addition, any link to this Website must be immediately followed by notice to LogicMonitor via e-mail at info[at]logicmonitor.com. Moreover, in the event that Company deems your linking practices in relation to this Website to be inappropriate, the Company may provide notice to you concerning removal or modification of the inappropriate link, and your compliance with any and all requirements of the Company relating thereto. Mobile Device Features
The Website may offer features and services that are available to you via your mobile phone or other mobile device. These features and services may include, without limitation, the ability to receive messages from LogicMonitor (including, without limitation, push notifications), download applications to your mobile phone or access LogicMonitor features (collectively, the “Mobile Features”). We may charge for Mobile Features. Also, standard messaging, data and other fees may be charged by your carrier. Fees and charges will appear on your mobile bill or be deducted from your pre-paid balance. Your carrier may prohibit or restrict certain Mobile Features and certain Mobile Features may be incompatible with your carrier or mobile device. Contact your carrier with questions regarding these issues. To opt-out of receiving text messages associated with a Mobile Feature text “STOP” to the applicable shortcode for the Mobile Feature.
If you have registered for Mobile Features that utilize your mobile number, you agree to notify LogicMonitor of any changes to your mobile number and update any relevant user account to reflect this change.
Special Terms for Apple iOS Devices
Notwithstanding any other provision within these Terms, the following subparagraphs are applicable to those using a LogicMonitor application acquired from the Apple App Store to access the Website on an Apple iOS device (“LogicMonitor iOS App”).
Acknowledgement. You acknowledge that this agreement is concluded between you and us only, and not with Apple. LogicMonitor, not Apple, is solely responsible for the LogicMonitor iOS App and the content thereof. You further acknowledge that LogicMonitor may not be used in any manner inconsistent with the App Store Terms of Service as of the Effective Date.
Scope of License. You are granted a license to use the LogicMonitor iOS App on any iOS device that you own or control and as permitted by the “Usage Rules” set forth in the App Store Terms of Service.
Maintenance and Support. We are solely responsible for providing maintenance and support for the LogicMonitor iOS App, as specified in these Terms or as required under applicable law. You and LogicMonitor acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the LogicMonitor iOS App.
Warranty. We are solely responsible for any warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of a LogicMonitor iOS App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for such LogicMonitor iOS App to you; and that, to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the LogicMonitor iOS App, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be the sole responsibility of us.
Product Claims. We, not Apple, are responsible for addressing any claims by you or any third-party relating to a LogicMonitor iOS App or your possession and/or use of the LogicMonitor iOS App, including, but not limited to: (i) product-liability claims; (ii) any claim that the LogicMonitor iOS App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection or similar legislation. Our liability is limited so far as permitted by applicable law.
Intellectual Property Rights. In the event of any third-party claim that a LogicMonitor iOS App or your possession and use of such LogicMonitor iOS App infringes that third-party’s intellectual property rights, we, not Apple, are solely responsible for the investigation, defense, settlement and discharge of any such intellectual property infringement claim.
Third-Party Beneficiary. You and we acknowledge and agree that Apple will have the right (and will be deemed to have accepted the right) to enforce the Terms against you as a third-party beneficiary thereof.
Geographic Restrictions
LogicMonitor controls the Website from its offices in Santa Barbara, CA. If you use this website from other locations, you are responsible for compliance with local Applicable Laws. The Company makes no claims that the Website or any of its content is accessible or appropriate outside of the United States.
Disclaimer of Warranties
You understand that we cannot and do not guarantee or warrant that files available for downloading from the internet or the Website will be free of viruses or other destructive code. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virus protection and accuracy of data input and output, and for maintaining a means external to our site for any reconstruction of any lost data. Limitation on Liability

Indemnification

Governing Law and Jurisdiction
All matters relating to the Website and these Terms of Use, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of California without giving effect to any choice or conflict of law provision or rule (whether of the State of California or any other jurisdiction).
Any legal suit, action, or proceeding arising out of, or related to, these Terms of Use or the Website shall be instituted exclusively in the federal courts of the United States or the courts of the State of California, in each case located in Santa Barbara County. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
Waiver and Severability
No waiver by the Company of any term or condition set out in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.
If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.
Entire Agreement
These Terms of Use, the Privacy Policy and the Recruiting Policy constitute the sole and entire agreement between you and LogicMonitor regarding the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website.
Copyright Claims
We take allegations of copyright infringement seriously. If you believe that any User Content or other content on the Website infringes your copyright or other intellectual property rights, pursuant to Title 17, United States Code 512(c)(2) you may submit a notification in writing to our Designated Copyright Agent as described below. Upon receipt of notices complying with the Digital Millennium Copyright Act (“DMCA“), we will act to remove or disable access to infringing material or material found to be part of infringing activity.
If you believe that your work has been copied in a way that constitutes copyright infringement, you or your agent will need to send a signed, written communication to our Designated Copyright Agent with the information listed below. Please consult with your legal counsel and/or see 17 U.S.C. 512(c)(3) of the Digital Millennium Copyright Act to confirm the following requirements:
